These Terms of Use (“Terms”) form a binding agreement between you (“User”) and MedaSystems, Inc. (“MedaSystems”, “we”, “us”, or “our”). To the maximum extent permitted by law, MedaSystems is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, revenues, data, or use, arising out of your access to or use of the Site, even if advised of the possibility of such damages. Our total liability for any claims arising from your use of the Site is limited to the amount you paid, if any, to access the Site in the six months preceding the claim.

You agree to defend, indemnify, and hold harmless MedaSystems and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of:

• Your violation of these Terms.

• Your violation of any third-party rights, including intellectual property or privacy rights.

• Any harmful act committed by you against another user of the Site.

12. Dispute Resolution

Binding Arbitration: If we cannot resolve any dispute through informal negotiations, any claim arising from these Terms or the Site will be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in the nearest federal court jurisdiction, which includes San Francisco or Oakland, California. This location is chosen for the convenience of MedaSystems as it is our place of business. You waive your right to a jury trial or to participate in a class action.

Exceptions: The following disputes are not subject to arbitration: (a) any disputes related to intellectual property rights; (b) claims of theft, piracy, invasion of privacy, or unauthorized use; and (c) requests for injunctive relief.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in the state or federal courts located in San Francisco or Oakland, California.

14. Miscellaneous

These Terms of Use, along with any policies or operating rules posted by us on the Site or in respect to the Site, constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms of Use or use of the Site. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
